Acceptance of these terms

By creating an account, joining an organization, or using NEWSROOM HQ, you agree to these Terms of Service. If you use NEWSROOM HQ for an organization, you represent that you have authority to accept these terms for that organization.

Eligibility and account responsibility

You must be legally able to enter into these terms and provide accurate account information. You are responsible for protecting login credentials, maintaining account security, and promptly reporting suspected unauthorized access.

Organizations, administrators, and members

Organization accounts may include administrators and team members. Administrators are responsible for membership, permissions, connected social accounts, and organization settings. Members may draft, schedule, approve, or publish content only within the authority granted by their organization. Connecting a social account represents that the administrator is authorized to act for its owner.

Content and media responsibility

You and your organization are responsible for all content uploaded, drafted, scheduled, or published through NEWSROOM HQ. You must have the legal right to use all text, images, videos, logos, music, trademarks, and other media you provide. You must review content, destinations, scheduling, and permissions before publication.

Prohibited conduct

You may not use NEWSROOM HQ for unlawful, defamatory, fraudulent, infringing, abusive, deceptive, spam, or malicious content or activity. You may not impersonate another person or organization, access accounts without authorization, distribute malware, evade security controls, interfere with the service, or misuse another organization’s data or connected accounts.

Third-party platforms and services

Your use must comply with the rules and policies of Meta, Facebook, Instagram, YouTube, X, and every other connected service. NEWSROOM HQ relies on third-party platforms, APIs, hosting, data providers, and email services. Their outages, rate limits, review decisions, account restrictions, delivery failures, and changes are outside NEWSROOM HQ’s control. NEWSROOM HQ does not guarantee that posts, invitations, emails, trends, social metrics, or integrations will always be available, accurate, accepted, or delivered.

AI-generated and informational content

AI-generated headlines, summaries, articles, captions, recommendations, and other output may contain errors, omissions, or unsuitable material. Users must review and approve output before publication. NEWSROOM HQ does not provide legal, financial, medical, or other professional advice, and its output should not be relied upon as such.

Ownership and license

NEWSROOM HQ and its licensors own the software, branding, interfaces, documentation, and platform materials. You retain ownership of your original content. You grant NEWSROOM HQ a limited, non-exclusive license to process, store, reproduce, format, transmit, and publish that content solely as needed to operate and provide the service at your direction.

Suspension and termination

NEWSROOM HQ may restrict, suspend, or terminate access when reasonably necessary to address misuse, security risks, unpaid balances, legal requirements, third-party platform restrictions, or violations of these terms. You remain responsible for activity occurring before termination.

Privacy and deletion

Data handling is governed by the Privacy Policy. Account and connected-social-data deletion procedures are described on the User Data Deletion page.

Disclaimers

NEWSROOM HQ is provided “as is” and “as available.” To the extent permitted by law, NEWSROOM HQ disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

Limitation of liability

To the extent permitted by law, NEWSROOM HQ and its owners, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, missed publication, account restriction, or third-party platform action. NEWSROOM HQ’s aggregate liability for claims relating to the service will not exceed the amount paid by the affected organization for the service during the twelve months preceding the claim.

Indemnification

You and your organization agree to defend, indemnify, and hold NEWSROOM HQ harmless from claims, losses, liabilities, and reasonable expenses arising from your content, account activity, violation of third-party rights, unauthorized publishing, misuse of connected accounts, or violation of these terms.

Changes

NEWSROOM HQ may change the service or these terms as the platform, law, or third-party requirements evolve. Updated terms will display a revised date. Continued use after an update constitutes acceptance of the revised terms.

Governing law and contact

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute must be brought in a court of competent jurisdiction in Texas. Questions may be sent to contact@newsroomhq.org.
